Notice of Yachting Western Australia Incorporated Annual General Meeting on 26 August 2017

As required by the Constitution, notice is hereby given that the Annual General Meeting (AGM) of Yachting Western Australia (Inc.) will be held at Royal Perth Yacht Club on Saturday 26thAugust at 1:00pm.

Australia II Drive, Crawley

Business:

  • To confirm the Minutes of the previous AGM No.65 held on 3rd September 2016;
  • To consider any matters arising from the previous AGM Minutes;
  • To receive reports from the President and Treasurer;
  • To receive the Independent Auditor’s report;
  • To ratify the appointment of an Auditor; and

Ordinary resolution:

To elect persons to the positions of President, Vice President, Treasurer and Board Member;

Special resolution:

To consider, and if thought fit, adopt a new Constitution

Papers associated with the meeting will be distributed prior to the meeting in accordance with Constitution.

Note: This notice is circulated to the latest email address list in the Yachting Western Australia office for Clubs, Class Associations and their Delegates. It is the Club’s and Class Association’s responsibility to check that their Delegate has received the notices and any relevant papers.

Club and Association Member’s notice is drawn to the following two clauses of the Constitution:

  1. DELEGATES AND OBSERVERS

 (a) Each Club Member and Association Member shall nominate in writing at least annually one Delegate to attend at Members Meetings and the Annual General Meeting.  The Delegate shall exercise the right of the Member to vote.

(b) Each Club Member and Association Member may nominate in writing not more than one observer at any one time to attend and speak at Members Meetings.  The observer shall have no right to vote.

(c) No Club Member or Association Member may nominate a person to act as its Delegate if the effect of the nomination is that the person nominated is thereby entitled to exercise more than ten (10) votes pursuant to clause 19 by reason of the prior nomination of that person by another Club Member or Association Member and any such nomination is null and void

  1. VOTING AT ALL MEETINGS

 (a) Voting at the Annual General Meetings/Special Meetings and Members Meetings shall be only by way of vote cast by the duly appointed Delegate of a Club Member or Association Member or his proxy.

 (b) Members shall be entitled to exercise the following votes:

  • Club Members                                                                                                              Four (4) votes 
  • Association Members (with a minimum of 10 boats on that associations register) One (1) vote    

  all cast by the duly appointed Delegate or his proxy.

(c) Maritime Members and Life Members shall not be entitled to vote at any meetings of Yachting WA.

(d) A member of the Board of Management shall have the right to attend and speak at all meetings of Yachting WA.

(e) A duly appointed Delegate shall be entitled to vote by proxy by either:

(i) submitting a written direction prior to a vote on the relevant motion, whereupon the Chairperson of the meeting shall exercise the proxy vote as directed; or

(ii) appointing another duly appointed Delegate providing notification of such appointment is made in writing to the Chairperson prior to the commencement of the meeting.

(f) A secret ballot shall be held on the resolution of a motion to the effect, in which case scrutineers shall be appointed by the meeting.
